Terms of Service
DineStack is a restaurant technology product provided by LEAP RIDE, INC., a New York corporation.
Provider: LEAP RIDE, INC., a New York corporation ("Company," "we," "us"). DineStack is the Company's restaurant technology brand. Business contact: info@dinestack.app; 967 Little Britain Rd, Suite 300, New Windsor, NY 12553, United States.
1. Scope and business use
These public Terms govern access to the DineStack website, public documentation, and services where no separately signed or electronically accepted business subscription agreement applies. The DineStack Restaurant Master Subscription Agreement ("MSA"), accepted Order Form, and any applicable Data Processing Addendum govern subscribing restaurants and control over these public Terms in the event of a conflict. DineStack is offered primarily to businesses and persons authorized to act for those businesses; it is not a consumer food marketplace. Guests using an enabled digital-receipt link receive only the limited access associated with that link.
2. Acceptance and authority
Restaurant-fit or sales intake is separate from subscription purchase. Submitting an intake does not create an operating restaurant account, accept a paid plan or authorize recurring charges. Paid onboarding requires a distinct affirmative acceptance of the applicable MSA, Order Form, billing disclosure and policies, followed by a separately authorized payment process.
By opening an account or using services requiring acceptance, the individual represents that they are at least 18 and have authority to bind the restaurant or organization identified during onboarding. If they lack authority, they must not enroll the business. Browsing pages available without an account does not independently purchase a subscription. Electronic acceptance must be accompanied by the then-current contractual terms and appropriate acceptance records.
3. Software and service availability
DineStack may provide POS, menu and location management, employee permissions, reporting, kitchen and driver workflows, receipts, device integrations, and eligible third-party payment integrations. Features are available only where enabled, supported, lawfully offered, and expressly included for the customer's account. Public descriptions and demonstration materials do not override the MSA or create an unconditional feature, performance, uptime, or certification warranty. Features labeled beta, testing, disabled, or not yet certified are not generally available.
4. Intellectual property
The Company and its licensors retain ownership of DineStack software, code, interfaces, branding, artwork, documentation, know-how, and updates, including all applicable copyrights, trademarks, and trade-secret rights. No ownership interest is transferred through access or payment. Users must not unlawfully copy, distribute, sell, sublicense, defeat access restrictions, or misappropriate any proprietary materials. Statutory exceptions and rights that may not lawfully be restricted remain unaffected. Restaurant-submitted content remains subject to the owner's rights and the business agreement.
5. Permitted use and accounts
When an identity is authorized for multiple restaurant organizations or locations, access remains limited to the specific organization/location permissions granted to that identity. Shared login credentials or unauthorized access to another restaurant's records are prohibited.
Users must provide accurate information, keep credentials confidential, use authorized staff roles, promptly report suspected compromise, and comply with law. They may not probe or attack systems; bypass device or tenant limits; access another restaurant's records; introduce malware; interfere with orders or payments; or use another merchant's Stripe or marketplace accounts without authority. Use of sensitive staff, payment, and diner information must be limited to legitimate restaurant operations.
6. Third-party services
Payment processing, phone verification, sign-in providers, marketplace brands, and hardware may be subject to separate third-party terms and eligibility requirements. Stripe's contracts govern Stripe payment processing. DineStack is not affiliated with Uber Eats, DoorDash, Grubhub, SkipTheDishes or another delivery provider merely because a restaurant can manually classify an order using the provider name or a restaurant-configured custom label. A classification button does not imply an authorized API connection, endorsement, automatic import or partnership. Restaurant operators remain responsible for third-party accounts, fees, compliance, and operational accuracy.
7. Information and no legal, tax or accounting advice
Calculations, tax configurations, reports, and workflows are operational tools, not professional legal, tax, payroll, or accounting advice. A restaurant is responsible for confirming menu prices, applicable taxes, tip allocation, labor law compliance, allergen disclosures, and accuracy of submitted records.
8. Public content and acceptable use
The website, public documentation, and branding are provided for information about DineStack. You may share unmodified public URLs and make customary personal reference use. No scraping at a scale that harms service, impersonation, false claims of affiliation, or commercial republication of copyrighted site content is authorized. Send intellectual-property notices to info@dinestack.app with "IP Notice" in the subject line.
9. Privacy
Our Privacy Policy describes how the Company handles information for its own purposes and, separately, how it may process restaurant-controlled data. Third-party providers have their own privacy notices. A restaurant must give its workers and guests legally required notices about the restaurant's own data collection.
10. Warranty and liability
To the extent permitted by law, the public website is supplied "as available" without guarantees that informational materials are uninterrupted or error-free. Nothing in these public Terms excludes rights or obligations that cannot legally be excluded. Subscribing restaurants should consult their MSA for the specific warranty, indemnity, and liability allocation.
11. Changes, law and contact
Material changes to these public Terms will be identified by a new published date, and existing subscribing restaurants will receive any notice required by their MSA.
The laws of the State of New York, United States govern disputes concerning these public Terms, excluding conflict-of-laws principles, except where mandatory law says otherwise.
Venue is subject to applicable law and any governing business agreement. Contact: info@dinestack.app. For formal notices, use the address in the executed MSA or the Company's verified published legal-notice address.
